It would be considered a replica because everything is like the original, just not made by Lamborghini... a kit car is based on some other car. You can build a Diablo kit car based on a Fiero or you can build an exact replica by locating one of a few companies that make replica chassis'. The only difference is that it wasn't made by Lamborghini.

a kit car is basically a car that's been molded from the real thing, i doubt anyone will make a lambo from scratch and not use molds.

There was a company (North American Exotic Replica Cars) that made complete Diablo chassis and bodies but was put out of business, their bodies were all metal, not fiberglass and the chassis is assembled from tubes and sheetmetal, not based on a Fiero. A lot of the bodies for Cobra kit cars are made from computer models, not molded cuz anyone with an original won't let anyone screw it up by slapping a mold on it. The replica Cobras are actually better made, more reliable and handle better than the originals.
