Windows 7 x64 Problems

This is a bit of a long shot, but I'm experiencing problems with my Windows 7 x64. I tried googling, but no results so I'm going to see if anyone on here has had this problem.

It works 2gb of ram fine, but when I put in 2x2gb ram, it freezes on the starting up splash screen. Each stick works fine individually and when i had windows xp (prior to 7) it read about 3.5 gb of ram.

I'm using a M2A-VM (revision 0804) motherboard with an AMD Athlon 64 X2 5200+ processor. The ram chips are OCZ 2gb each. I also have a Nvidia GeForce 8800 GT Video card if it makes a difference. I've gone onto the Asus site and downloaded the Phoenix update utility (meant for the windows 7 x64 and for the correct motherboard) but it doesn't seem to want to open saying that i should redownload the correct x32/x64 version.

Did anyone have a similar problem?
